• Management of the corporate governance of all legal entities (8) in Argentina and Uruguay (shareholders meetings, powers of attorney, composition of the boards of directors).• Advice on legal issues, legal developments, risk management and policy setting.• Deliver clear, pragmatic solutions to internal and external clients.• Draft, review, negotiate and control agreements for the Argentina and Uruguay subsidiaries, including, without limitation, services agreements, lease agreements, non disclosure agreements, among others. KPI: 200 agreements per year.• Provide support and legal advice to all areas of the company, including without limitation HR, IT, finance, marketing, sales, brokers, regulatory, operations and procurement.• Identify and minimize legal and administrative issues for all legal entities in Argentina and Uruguay.• Provide legal opinion regarding business´legal framework.• Disrupt threatens to the Companies: prevent errors and ommissions.• Assist the Head of Legal, Compliance and Pubblic Affairs in Southern Cone (Brazil, Perú, Argentina, Chile & Uruguay) in complex matters as large litigation processes, investigations, etc.• M&A: management of due diligence, draft of agreements as SPA & TSA, filings before the Antitrust Commission, and integration processes of companies.• Draft of reports, mantain the contracts database updated,update corporate data sheets, etc.• Manage external counsel.• Coordination of litigation matters.• Responsible for representing the Companies before the regulators (i.e.: Superintendence of Insurance).• Supervisary duties regarding Compliance topics, including Anti Money Laundering matters.• Lead a team of 4 members, including a Compliance Officer, a junior counsel and two AML analists.

• Advise on the day to day to insurance companies and insurance / reinsurance brokers.• Drafting of commercial contracts related to the insurance business.• Leadership of due diligence proceedings on insurance regulatory, insurance policies and litigious matters.• Review, renogotiation and adaptation of contracts to a new insurance regulatory framework as in-house counsel of an insurance company (secondement).• Drafting of legal opinions related to the insurance business. • Drafting of administrative appeals before the Argentine Superintendence of Insurance.• Extensive knowledge in litigious matters (mediation hearings, litigation, ordinary and extraordinary appeals), on claims proceedings over US dollars 500,000 and class actions.• Extensive knowledge of the Consumers Protection Law, which includes attending hearings , sanctions appeals, extraordinary appeals to the Superior Court of Justice, and the leadership of a team of lawyers who are responsible for dealing with the claims.• Negotiation of claims, drafting of settlement agreements, which are economically and/or reputational favorable to companies.• Extensive knowledge of Insurance Law, Anti-laundering Money regulation, framework of the insurance and reinsurance business.• Advise on major insured losses (average amount of claims: US dollars 10,000,000).• In charge of a team of three professionals (two lawyers and one paralegal ).

• Attorney before civil and commercial courts. • Follow up of lawsuits related to debt recovery of banks. • Drafting of legal documents (foreclosures, insolvency and bankruptcy, debt recovery). • Drafting of reports regarding the status of the debt portfolio.

• Attendance of mediation hearings and Consumer´s claims before the Consumers Protection Agency.• Search of doctrine and/or jurisprudence for semi-seniors and/or seniors counsels. • Draft legal opinions. • Analysis of loan contracts.

• Attorney before labour, civil and commercial courts. • Follow up of labour, civil and commercial lawsuits. • Audite of external law firms.• Control of the billing fees in accordance with the agreements. • Management of performance bonds. • In charge of corporate formalities before the Public Registry of Commerce.
