Dan Cole has joined the Investment Management subgroup of DLA's Finance practice. Dan offers nearly two decades of experience in joint venture and real estate transactions, with a concentration in the multi-family sector. Notably, Dan worked in house for Equity Residential, where he assisted in structuring all development joint ventures for the company’s portfolio which, at the time, consisted of $1.6+ billion of development projects across the United States. In addition to joint ventures, Dan is involved in all areas of commercial real estate and development, including property acquisitions/dispositions, financing, restructurings, complex tax planning, development agreements, and design and construction contracts. Dan’s experience includes representing various cannabis companies in connection with sale leaseback and leasing transactions and corporate acquisitions. Dan also has extensive experience in corporate transactions, which includes early-stage investments in emerging growth companies on behalf of venture capital funds and entrepreneurs; structuring of private placement offerings; equity and convertible debt investments; asset and stock transactions; and tax credit financing transactions, including new markets tax credits and historic tax credits. In addition to his law degree, Dan is a Certified Public Accountant (CPA).

Mr. Cole is a partner at Ginsberg Jacobs, LLC and concentrates his practice in the areas of real estate, joint ventures, and corporate matters. Mr. Cole’s clients range from entrepreneurs and high net worth individuals to private and public companies (including members of the S&P 500). He is adept at structuring, developing and executing legal solutions to achieve the client’s business and tax planning goals. Mr. Cole’s real estate experience encompasses all areas of commercial real estate and development, including property acquisitions/dispositions; restructuring of development and operating obligations with equity providers, lenders, and hotel franchisors; complex tax planning for REITs, including tax deferral through issuance of REIT operating partnership units and 1031 like-kind exchanges; and negotiation of construction contracts, architect’s agreements and design-build agreements.
