CurrentClient representations include:- Negotiation of derivatives documentation for a major U.S. mutual fund companies, including Dodd-Frank and EMIR compliance, central clearing documentation and tri-party control agreements.- Serve as primary counsel for formation and development of ambulatory surgery center and related sale of physician membership interests; address Stark and Anti-Kick-Back issues in connection therewith.- Formation of private funds, including preparation of related offering and subscription documentation and state regulatory filings.- Represent healthcare and biotech fund clients in connection with private equity investments and negotiation of related side letters.- Serve as primary counsel for CFTC regulated global derivatives technology firm in connection with the negotiation of SaaS and hedge advisory agreements.- Assisting a regional health insurance company with various state regulatory filings in connection with acquisitions and new product offerings.- Advising on general corporate and transactional matters.
