Work closely with Information Services to advise on information technology transactions, regulatory, compliance, communications, revenue integrity, and other legal matters. Review, edit, analyze, and negotiate agreements for technology-related goods and services, such as software licensing and hardware purchase agreements, statements of work, change orders, terms of service, end user license agreements, and strategic partnership agreements for content, data, technologies and services. • Managed high volume of agreement negotiating and drafting involving commercial relationships with customers, suppliers, and independent sales force, addressing regulatory, and compliance matters (Anti-Kickback Statute, False Claims Act, HIPAA, etc), intellectual property (software, technology and medical IP issues), marketing and promotional materials, • Served as principal legal contact for: Global Syncera division (a disruptive sales initiative), Robotics (Navio) business, ambulatory surgery center initiative, and global real estate interests• Created a “self-service” program for department's internal clients, made up of a collection of concise forms and training materials, posted on the department internal website – System promises to free legal staff from more routine matters so that they can focus on pressing issues• Reduction in force eliminated more than 100 positions across company, including eight in Legal, effective 23 February 2018 - Left Smith & Nephew on very good terms - Can provide excellent references from current and former Smith & Nephew leadership

• Intellectual property, litigation, bankruptcy, transactions, and business organizations practice• • Persuaded local and state authorities an applicable statute had to be construed to allow for tax increment financing of a major convention center in the Smoky Mountains of East Tennessee. Developed complex income projections, tax districting maps and authorizing resolutions, and negotiated a lease with a major anchor tenant for a related retail complex associated with the project• Seconded to Smith & Nephew beginning January 2009, ending upon joining Smith & Nephew’s in-house legal team in May of 2012

• Developed and implemented a master plan for termination of maquiladora manufacturing contracts (northern Mexico), and replacement of same with contract manufacturing relationships in Honduras, El Salvador and the Dominican Republic• When negotiations with a supplier of RFID technology bogged down, brought both sides together and succeeded in hammering out a complex technology development and software licensing agreement• Served as lead in-house lawyer working on Fruit of the Loom Chapter 11 bankruptcy matters• Developed expertise in international tax issues (transfer pricing; inter-company agreements), and import and export restrictions

• Built a contract management system from the ground up, eventually including Sygen’s international intellectual property portfolio• Managed international and domestic litigation, environmental/legal compliance issues, corporate records, and tax-related agreements between associate and parent companies• Negotiated and drafted key biotech patent licenses, as well as acquisitions, franchise and distributor agreements in Europe, Asia, South America and Canada, which allowed Sygen to expand its global footprint
