Ms. Smith is the former Secretary to the Board of Directors of UnitedHealth Group Incorporated, a Fortune 5 company with 2021 revenues of $287.6 billion and over 300,000 employees. She joined UnitedHealth Group in 2004 and served as Secretary to the Board from October 2006 to April 2022. Ms. Smith is a highly strategic and inclusive executive, trusted advisor and recognized expert in corporate governance, ESG, securities laws disclosure and shareholder and stakeholder engagement. She also has substantial experience in compliance, executive compensation, crisis management, risk management, and mergers and acquisitions. During her tenure at UnitedHealth Group, she created and led its corporate governance outreach program. She is an emotionally intelligent , adaptable and inclusive executive, building and leading a diverse team of approximately 80 professionals responsible for support of the Board of Directors, securities law compliance, treasury support, subsidiary management and governance, charitable foundation activities, legal operations and budget, and corporate security. During her tenure, she built a leadership team that was 64% diverse and consistently received higher than average employee engagement and manager effectiveness scores.Prior to UnitedHealth Group, Ms. Smith was a partner in the corporate department of Dorsey & Whitney LLP. Ms. Smith started her legal career as a law clerk for the Hon. Frank Magill, U.S. Court of Appeals, 8th Circuit.Ms. Smith served as Board Chair of EQ Trust Company, a subsidiary of Equiniti and has been a board member from 2017-2023. She serves on the Board of Children’s Heartlink, and chaired its Leadership and Governance Committee. She is a member of the 2021 Class of Fellows of the American College of Governance Counsel. She previously served on the NYSE Listed Company Advisory Board, Chair of the Society for Corporate Governance and its Corporate Practices Committee, board member of the Council of Institutional Investors, and the YWCA of Minneapolis. She served as a member of a task force of the ABA Section of Business Law, Corporate Governance Committee on the Delineation of Governance Roles and Responsibilities. Ms. Smith received Corporate Secretary magazine’s Corporate Secretary of the Year and has been included in the Directorship 100. Ms. Smith received her B.A., cum laude, from the University of California, Santa Barbara, California and her J.D., magna cum laude, from the University of California Hastings College of the Law.
