CurrentAccela is a leading SaaS company that provides subscriptions, software and/or services to (mostly) government entities worldwide. ➢ Drafted, reviewed and negotiated complex (foreign and domestic) agreements including, but not limited to, license, subscription, reseller, distributor, OEM, SOW, service level, vendor, marketing, business associate, real estate and non-disclosure agreements. Led commercial transactions resulting in quarter over quarter record sales and received awards. Provided training to sales teams. Sole attorney for legal requests from 33 account executives in U.S., Middle East and South Asia (direct customers, channel partners, business development) - 1-day turnaround from request to response. ➢ Scaled internal processes during hyper‐growth, decreased contract review turn‐around time by 100%. Mentored attorneys.➢ Led privacy (CCPA, GDPR) compliance, including researched laws and regulations, drafted internal procedures.➢ Advised corporate executives on open source and security, e.g., created (1) guidelines, policies and forms database, (2) intellectual property and third party software guidelines, and (3) privacy, online, service, database, data storage, on-prem support, SaaS support, uptime and security policies.➢ Advised Human Resource executives, e.g., wage and hour laws (pay statement, bonus programs, inside sales exemptions and expense reimbursements), Fair Credit Reporting Act (FCRA), and Equal Employment Opportunity Commission (EEOC).➢ Managed outside counsel. Reduced company’s liability and legal expenses by eliminating out‐sourced litigation through risk mitigation, negotiation and skillful settlement drafting. ➢ Advised senior management with respect to the merits of claims against Accela and defined strategies and defenses for such claims, e.g., led Benavides and Contreras cases and settled loan dispute cases - saved company over $1M.➢ Led M&A efforts, e.g., led divestment effort to sell part of the company to a foreign entity.
