For most of my career, I was a partner at Rogers & Wells, which in 2000 merged with, and became the U.S. arm of Clifford Chance. While at Rogers & Wells, I formed the Mergers & Acquisitions Practice Group, and then Chaired the Corporate Department (approximately 40% of the firm) for nine years. I then spent seven years as a partner at K&L Gates, In 2015, I Joined Goodwin Procter as a counsel. For many years, about a third of my practice was representing major non-US companies in acquiring US companies, about a third was representing US companies in M&A and securities transactions, and the remainder of my practice was advising primarily publicly traded US companies with regard to corporate governance and other matters. Recently, I have represented primarily US companies, with a strong tilt toward corporate and M&A work for companies engaged in real estate related activities. I write a quarterly column on corporate governance that appears in the International Financial Law Review.
