At Capital Senior Living, as Senior Vice President, Secretary to the Board and General Counsel, I am and have been responsible for all legal issues faced by the corporation and its owned or operated/managed senior living facilities, with 16,500 residents and over 7000 employees located in 23 states. I am responsible for legal matters relating to financing, acquiring and disposing of communities, as well as handling all employment, regulatory and licensure compliance issues, professional and general corporate claims, and risk management and general corporate compliance issues. I participate in company and regional training, provide guidance daily to facilities with emerging issues and manage a staff of four individuals. I have complete oversight and management of all litigation against the company and its facilities. As Secretary to the Board, I am responsible for ensuring that New York Stock Exchange governance requirements are met, the records and minutes of the Boards' actions reflect the proper exercise of those fiduciary duties, and proper reporting is made to the SEC and shareholders as required by law.
