I serve as the Interim Head of the Legal and Compliance team at the Environmental Defense Fund, advising our 1,000 + strong business/program teams on a variety of corporate and governance issues. With respect to contract management, this includes negotiating the terms of global master services agreements, nondisclosure agreements, vendor contracts, and engagement letters. I utilize my background as a finance and restructuring attorney to lead efforts advising our finance department on structuring financing transactions and maintaining the management of the over $250MM grants and $50MM in loans EDF receives in pursuit of its mission. I am also the lead counsel advising on data privacy and protection related matters, corporate governance issues, and oversee a team of ten attorneys and staff in managing our legal operations.

I served as senior legal counsel working alongside C-suite management and international financial institutions with a focus on financing and financial restructuring transactions and general corporate matters.My practice included drafting and structuring agreements covering the purchasing and/or licensing of numerous types of assets, negotiating and drafting commercial agreements, contracts and legal documents to protect client interests and advising on issues involving secondary market trading transactions and chapter 11 bankruptcy proceedings.

I served as in-house legal counsel for Batuta Capital Advisors, an investment firm that both co-invests and uses proprietary capital to invest in middle market companies undergoing strategic refinancings and balance sheet restructurings.In this capacity, I served on the executive team and advised on the purchasing and sale of assets across a range of industries, advised on risks and opportunities in complex bankruptcy situations, and was responsible for drafting and negotiating commercial contracts including master services agreements, statements of work, request for proposals, confidentiality agreements and engagement letters.

Advised institutional investors and companies in the negotiation and structuring of key legal and financial documents related to multi-billion dollar operational turnarounds and balance sheet restructurings.

Counseled private equity and hedge fund clients on the legal intricacies of investing in companies in financial distress. Additionally, I worked alongside senior management negotiating, structuring and executing key legal and financial documents and advised institutional investors in negotiating their portfolio company’s legal and financial contracts.

Assisted in developing proposals (mergers, divestitures, capital raises) to create cost effective solutions and synergies for companies in the media and telecommunications industry.
