My law practice specializes in securities and business law. I represent public and private companies in the technology, real estate, energy, and financial industry sectors, in securities transactions including equity and debt offerings, rights offerings, exchange offers, mergers, acquisitions, divestitures, and spin-off transactions.I also focus on compliance matters with respect to federal and state securities laws and SEC and stock exchange listing and other compliance matters, corporate governance matters, private equity transactions and venture capital investments.

In my corporate and securities practice, I focus in the areas of business transactions, including partnership, limited liability company, and corporate law, federal and state securities compliance, mergers and acquisitions, contract law, tax law and real estate law. My work includes the preparation of securities disclosure documents for financing transactions, as well as agreements for business transactions, limited liability companies, partnerships, lending transactions, real estate acquisitions, mergers, and the exploration and development of mineral and oil and gas properties.

Aviation, Corporate and Securities Attorney.As a transactional aviation attorney, I counsel foreign and domestic corporate and individual clients on issues relating to the acquisition, leasing, registration and financing of new and pre-owned aircraft (including fractional aircraft), including planning for and implementing tax efficient structures, related FAA and DOT regulatory matters, regulatory evaluation of operations, aircraft management arrangements and registration of aircraft using available alternatives for non-citizens such as owner trusts, voting trusts and other approved methods.In my corporate and securities practice, I focus in the areas of business transactions, including partnership, limited liability company, and corporate law, federal and state securities compliance, mergers and acquisitions, contract law, tax law and real estate law.
