• Maintaining and developing a Group Reporting function as the business grew from a FTSE 250, UK, £150m turnover business to a PE owned, Global, £850m turnover business (KKR acquired NIS in 2008 for £1bn).• Building a strong relationship with the Group CFO over a 10 yr period working directly on a number of commercial opportunities, including over 20 acquisitions and 2 major disposals. • Initially transitioning a predominantly contractor based team (12) to permanent and then latterly moving many roles offshore. OneTel – Telcom Co (t/o £350m) part of the Centrica plc group Finance Manager B2B and New Business• Virtual FD for B2B and New Business (Prepaid cards) supporting respective business owners with full financial and commercial expertise.• Challenging and questioning business practices and processes.• Development of Strategic plans and business models.• Co-ordination and submission of monthly reporting and quarterly forecasting to Company Board and Group.• Remaining as key contact on all Telco Global financial and management integration issues.Mar 03 – Jan 04. Telco Global Ltd – Private Telecom Co (t/o £150m) acquired Centrica Telecom Jan-04Financial Controller • Full responsibilities for Group consolidations, statutory reporting, tax compliance - in particular dealing with complex VAT schemes, and setting of Annual Budgets and rolling forecasts.• Direct responsibility for the financial reporting, systems and staff of a £150m+ telecommunications group. Developing timely and accurate business reporting to support the Directors of the business through a period of rapid expansion. Building relationships with business Directors seen as paramount to the success in a rapidly changing sector and growing company.• Responsible for internal due diligence of group Balance Sheets – rapidly bringing controls and reconciliation up to a standard to withstand external scrutiny prior to sale.• Working closely with the Group FD on potential refinancing and/or trade sale. Meeting with Corporate advisers, potential purchasers and Company advisers.• Conclusion of work resulted in a successful trade sale (Sept 04) to One-Tel, part of the Centrica plc group. Key member of the management team liaising and working closely with the new management on the successful due diligence and subsequent development of an integration and business plan.

• Reporting directly to the Group FD of a diverse, fully quoted, communications company with responsibility for FD reporting, Statutory reporting, Treasury, Corporate, VAT and Payroll tax compliance, PL and adhoc projects.• Liaising with a Big 4 firm of advisors on all statutory reporting and Corporate Tax issues.• Design, collation and presentation of all financial data in the FD’s monthly board report.• Responsible for the assessment of IAS and presenting directly to the plc Board on the potential implications on the business’ systems and reporting.• Responsible for up to 4 direct reports and a team of 8.Achievements;• Following a Group restructure, Board changes and placing an open offer to dilute shareholders worked as a member of the senior management team to implement financial controls and instigate a cost control strategy to stop cash hemorrhage.• Key negotiations with major suppliers to reduce debt, making substantial cash savings and contributing to bringing the Group back from the brink of administration. • Actively involved in turning the Group around to a positive EBITDA position.• Member of the steering committee to oversee the implementation of a Group wide new accounting package and systems.• Oversaw the hive-up of 8 subsidiary entities into one trading company. Negotiated to retain trading losses for future CT utilisation.• Implemented Treasury control and reporting including maximising investment return and dealing with forex exposure.

• Reported directly to the CEO and Board – working closely with the CEO on all financial matters and strategic planning associated with a rapidly expanding VC backed business.• Responsible for reporting and strategic planning of all financial operations – cashflow management and forecasting, VAT and CT planning, internal and external reporting.• Liaised directly with the VC investors and both senior debt and mezzanine financiers – financial reporting and modeling, covenant testing and building a working relationship.Achievements;• Instigated a complete reorganization of the group’s structure – drafted ‘hive-up’ agreements with a city firm of solicitors and completed favorable negotiations with both the IR and C&E resulting in the utilisation of substantial tax losses. • Successfully negotiated a rights issue and debt re-financing – worked closely with a VC investor, bank funders and corporate finance advisers to issue a prospectus to all shareholders underwritten by the VC. Updated MBO business plan and financial models.• Actively developed a strategy of rapid expansion – involved in site identification and financial feasibility. Resulted in the doubling of operational sites and turnover post MBO.• Developed a strategy of new site acquisition on B/S against the traditional leasehold – raised bank finance and worked closely with a Big 5 firm to create and implement a VAT scheme allowing 100% build cost recovery in an exempt industry.• Implemented new accounting software and systems to facilitate rapid growth – managed the introduction of a new Windows based accounting software package. Including the design of set-up, changeover and associated system controls.• Re-designed management information issued to operational staff – allowing users to interpret financial data with more understanding and clarity.
