Responsible for maintaining Vermont captive insurance companies’ legal compliance with Vermont’s regulatory requirements. Develop and implement corporate governance standards. Representation includes maintaining corporate records, attendance at Board meetings, and providing legal counsel as matters arise.Structure and Formation. Provide advice with respect to the structure and formation of Vermont captive insurance companies.Contract Drafting and Negotiation. Draft and negotiate contracts necessary for the operation of captive insurance companies including reinsurance agreements, retrocession agreements, and insurance policies.Business Law. Provide expertise to guide effective solutions throughout the life of a company, including entity selection, mergers and acquisitions, contract negotiations, business succession planning, sale of the business, and business dissolution.
