In 2003, I became General Counsel for the Chicago Stock Exchange where I managed and represented Legal and CHX Market Regulation Departments as the lead senior management advisor to protect the interests of public investors. I organized and participated in Board and Shareholder meetings. I drafted and submitted rule filings to the SEC, negotiated corporate agreements, lended guidance on strategic initiatives, and provided counsel on human resources and employment matters. Leading enforcement efforts against CHX participants ensured regulatory compliance and credibility. I acted as a representative for the SEC staff on rulemaking and interpretive issues as well as in response to OCIE oversight exams and to Intermarket Surveillance Group (“ISG”), an affiliation of the U.S. and international securities as well as futures exchanges designed to foster the sharing of surveillance information for regulatory purposes.Results—• Satisfied undertakings mandated by SEC in 2003 disciplinary action against the Exchange for legacy problems. • Rejuvenated the CHX enforcement function and brought a number of disciplinary actions. • Advised senior management on regulatory aspects of major structural changes to Exchange in response to Regulation National Market System (NMS). • Guided management and Board through the difficult post-2008 environment, navigating real estate contraction, layoffs, benefit reductions, and pay cuts.
