Acted as outside general counsel and member of management team for both sellers. Assisted with selection of investment banker and drafting of management presentation. Sole attorney for sellers responsible for negotiating approximately $200 million transaction and drafting transaction documents.

Responsible for SEC filings, mergers and acquisitions, Sarbanes-Oxley compliance, corporate governance, and litigation. Manage 10 person legal department, consisting of four attorneys and one paralegal directly reporting, and two attorneys and four paralegals indirectly reporting. Manage multiple outside counsel.
