I provided financial and business oversight for portfolio of early stage Health Care companies that were 100% funded by investor Private Equity group.

I provided oversight and strategic direction in my role as CFO for complex Global Health Foundation with over $250 million in annual life saving programs in 30 countries. Installed a culture of increased finanical accountability, including increased focus on cash flow, and put in place enhanced financial reporting and a formal projecton process. Efforts provided increased visibility to the financial challenges faced by the organization, leading to strategic program discussions with the Board of Directors.

CFO of VC backed company (formerly Metabolex ) focussed on metabolic diseases. Durign a period of tight financing, lead fund raising efforts from multiple sources including a Series E from existing investors, debt facility from pharma partner, several non- dilutive partnerships, and successfully secured funding for eight internal projects from President Obama's Federal Stimulus initiative .

Developed, recommended, and executed Merck Capital Structure including debt financing, share repurchases, and dividend planning. Managed both short term liquidity, via commercial paper markets, and optimized return on investment portfolio (> $10 billion). During Financial crisis, maintained continued access to liquidity via commercial paper markets, renewed $1.5 billion commercial bank revolver, and managed credit rating agency relationships.Secured $4.5 Billion letter of credit for Vioxx product withdrawal settlement. Co-lead CEO sponsored Six Sigma Project to streamline financial planning processes.

Working with field finance teams oversaw Treasury functions for all International entities. Managed the company's > $2 Billion intercompany financing. Worked with Tax to manage Physical and Financial supply chains and Intellectual Property ownership to optimize company's after-tax profitability.Secured approval from Japanease Tax authorites of structural change that provided additional Supply Chain flexibility.

Financial business partner for Merck Research senior management ($3 billion annual budget). Lead financial planning, budgeting, asset management, and finanical valuation of development portfolio.Finance representative on Research / Manufacturing initiative that led to creation of new organization dedicated to optimizing product launches.Assessed and enabled asset consolidation that lead to the rationalization of two research sites

Provide financial analytical support for 3rd party transactions, including licensing, acquisitions, divestitures, and joint ventures.

Lead all aspects of 3rd party Business Development transactions, including negotiations, due diligence, transaction structure and presenation of business rationale to Sr. Management. I led Merck's first biopharmaceutical M&A , SIBIA Neuroscienses, which was initiated by taking advantage of depressed market conditions. Other major transactions including leading the acquisition of genomics technology (Rosetta Inpharmatics), acquisition of residual interest of Banyu Pharmaceuticals (Japan), and divestiture of non-core Medco (PBM) asset to shareholders.

I supported the Merck Manufacturing Division, initally by providing the financial analytical support for critical infrastructure and other special projects. I worked closely with line management and the Tax department to optimize our facilities located in tax advantaged locations and was the finance rep on the Divisions's facility review leading to the rationalization and optimization of the company's asset base.I also had P&L responsibility for the Manufacturing Divisons International (ex Europe) Operations. In response to desire to expand Merck's presence in Asia, negotiated the terms and establised appropriate structure with the Singapore government that lead to Merck's future Singapore facility.

Joined company initially as an Analyst in International Treasury where I supported Merck's Japanease operations. I moved on to the Corporate Financial Analysis group, started as an Analayst and was promoted to Manager. My major contribution, which I was recognized for a Management Award, was supporting two transactions wth DuPont. The first was the COZAAR licensing agreement, a $Billon plus blockburster and the formation of the DuPont- Merck Joint Venture.
