Led all capital markets activity related to debt and equity financing. Primary responsibility for ongoing communication with shareholders, lenders and investment banks. Prepared and directed board-level analysis of financial strategies, including capital-raising and M&A. Avoided default despite 50% decline in EBITDA through multiple treasury-led initiatives, including conversion of capital leases, incremental debt reduction, raising equity commitments, and the sale of non-core assets. Secured four amendments to $530 million credit facility with hostile hedge fund lenders. The succession of deals bought the company time to sell itself and optimize equity value. Spearheaded the completion of two SEC-compliant offering memoranda for high yield bond financing and equity rights offering. Negotiated key terms with private equity investors, hedge funds and investment banks. Built and maintained multiple covenant and cash flow models used to manage default and liquidity risk.

Raised over $7 million in mezzanine debt and preferred equity to fund substantial expansion of the company’s operations and the buyout of a dissident shareholder. Attracted multiple term sheets from potential investors, resulting in above-market valuation and favorable non-financial terms.

Developed and managed relationships among industry firms, private equity and debt providers. Advised competitive local exchange carrier on acquisition of independent telephone company, including capital raise of private equity and senior debt. Other engagements included private equity raise for fast-growing provider of telecom software and advisory assignment for diversified media company’s debt refinancing.

Managed client relationships and transaction execution in telecom and media industries across all product areas, including: senior debt, high yield debt, convertible securities, public equity, private equity and M&A advisory.
