I’m Edward Culhane, a seasoned transactional attorney. With years of hands-on experience running and managing businesses, I bring a wealth of knowledge to the table. My clients span a wide range, including venture capital funds, private equity funds, family offices, angel investors, and real estate investors. I also work closely with entrepreneurs and business owners at all stages of their journey, serving as their trusted “on-call” general counsel and legal advisor. My legal career has taken me through various roles, from practicing law at a large firm to managing my own firm, as well as acting as in-house counsel. Over the years, I’ve gained expertise in company formation, intricate corporate structures, capital raising, commercial transactions, mergers and acquisitions, joint ventures, shareholder disputes, corporate governance, employment matters, equity compensation plans, distribution agreements, software and technology development, real estate syndications, commercial contract drafting, intellectual property protection and intellectual property licensingWhile my clients come from diverse industries, I have in-depth knowledge and experience in real estate syndications, specialty foods, software development, fintech, industrial hemp, and state-legal cannabis industries. Before pursuing law, I held leadership positions in private companies, including serving as an operations manager with P&L responsibility for a $10 million building products distributor. After law school, I had the privilege of clerking for the Hon. Donald P. Lay of the 8th Circuit United States Court of Appeals in St. Paul, Minnesota. For 13 years, I practiced law at a prominent firm, focusing on private equity, venture capital, real estate syndications, mergers and acquisitions, corporate governance, intellectual property transactions, and complex commercial transactions. I also played a key role in the launch and served as General Counsel for a cannabis company founded by the renowned boxer Mike Tyson, located in Los Angeles, California. Outside of my legal career, I call beautiful Marine on Saint Croix, Minnesota my home. I’m passionate about outdoor activities and spend a significant amount of time hunting pheasants with my faithful yellow Labradors, Flap Jax and Gritts. I’m proud to have served as an enlisted infantryman in the United States Army Reserve, earning the honor of being selected as the United States Army Reserve Soldier of the Year in 1990.
