Main Duties and Responsibilities:• Structuring, drafting, review, negotiating, interpreting and managing all types of agreements with a particular focus on purchase of ICT services and infrastructure platforms licensing (including SaaS, IaaS and PaaS) and software license/maintenance and development as well as purchase of not ICT servicesand goods (consultancy, training, back office, etc) and outsourcing under EBA Guidelines;• Drafting, negotiating and managing joint ventures and strategic alliance arrangements;• Managing M&A deals and internal reorganization of the Group;• Standardizing T&Cs/agreements for non-banking area, also aimed at automatizing third party agreements;• Drafting of Board of Directors’ resolutions;• Advising senior management on legal compliance and risk management to accomplish business objectives facing consciously the risks as well as providing strategic legal advice;• Driving consistency of process and standardization;• Educating business teams about contracting forms, contractual right and obligations, commercial and legal risks and internal processes.

• Drafting and negotiation of a wide range of agreements (e.g.: outsourcing agreements, ICT, software agreements, service contracts, consultancy, sponsorship and purchase/sell of UniCredit’ artistic heritage), as well as agreements relating to real estate assets (e.g. dismissal of real estate portfolios, lease/sub-lease, facility management agreements, gratuitous bailment); • M&A deals and management of the main JVs of the Group;• Advising senior management on legal and regulatory compliance as well as review and support of Group policies.

• Drafting and negotiation of a wide range of agreements (e.g.: service contracts, purchase of goods and services, consultancy, lease/sublease etc);• Drafting, negotiating and management of ordinary and extraordinary transactions, with particular reference to M&A deals (e.g. BiOlevano, Sofregaz, TCC etc) as well as set up of joint ventures and strategic alliance arrangements;• Coordination of external legal firms for the management of legal disputes and direct management of out-of-court litigation;• legal advice and support for different business department.

I gained a deepened experience in M&A and private equity transaction for many companies and investment funds, dealing with draft and negotiation of agreements relating to sale and purchase of shares/quotas and going concerns as well as ancillary documentations for M&A deals (joint ventures agreements, shareholders’ agreements, By-laws, resolutions of corporate bodies). In addition to the above I took care of the following activities:• Drafting and negotiation of a wide range of agreements (e.g.: service contracts, software license/maintenance/development, lease/sublease, settlements, letter of intents/memorandum of understandings etc.), as well as legal and regulatory advice and support for clients of the law firms;• Acting as team-leader in due diligence activities managing team composed by colleagues of different seniority;• Drafting and negotiation of real estate agreements relating to the sale and purchase of real estate assets and set up of joint ventures.

I gained an important experience in drafting and negotiation of agreements relating to sale and purchase of shares/quotas/assets and going concerns in the interest of companies and investments funds and listed companies. In addition to the above, I took care of drafting and negotiation:• Agreements and documents for M&A deals (joint ventures agreements, shareholders’ agreements, By-laws, resolutions of corporate bodies);• agreements of different nature as well as legal and regulatory advice and support for clients active in a variety of industry sectors;• real estate agreements relating to the sale and purchase of real estate assets and financing agreements related to the transactions.

• I dealt with drafting of agreements relating to sale and purchase of shares/quotas and going concerns for main clients of Law Firm as well as drafting of By-Laws, resolutions of corporate bodies etc); • Moreover I took care of drafting and negotiation of agreements for a main client of Law Firm (Reuters) where I worked as secondee from December 2004 to June 2005.
