Daily interaction with business development, marketing, procurement and other business units. • Responsible for all finance and treasury legal matters, including credit facility, A/R securitization facility, capital leasing, equity offering and public bond offering and exchange as well as covenant compliance.• Main legal role in all joint venture and M&A transactions, including negotiation and drafting of agreements and coordination of diligence process. • Lead attorney for many human resource matters, including equity compensation, benefits and employment disputes. • Involved in development and management of corporate ethics and compliance program.• Responsible for the management of routine litigation and disputes, corporate governance issues and review and coordination of SEC filings and securities law issues.• Manage outside counsel on substantive issues and cost control on legal expenses.
