As the leader of many of Tapestry’s audit committee networks, I worked with hundreds of audit committee chairs to help them succeed in their roles. In recent years, I led discussions for audit chairs with representatives from the SEC, PCAOB, and European Commission. I also addressed topics including committee effectiveness, cybersecurity, non-GAAP and non-financial (ESG) metrics and reporting, special investigations, data privacy, culture assessment, risk management, finance function transformation, oversight of the internal audit function, the relationship with the external auditor, and tax reform. In addition, I organized sessions for audit chairs to better understand emerging technology through visits to an audit firm's innovation lab, a technology incubator, a global brewing company's Beer Garage, and a trucking company’s Silicon Valley innovation center. I also led Tapestry's work with lead directors and non-executive chairs. I brought these directors together with senior leaders from the SEC, major institutional investors, and subject matter experts to discuss many of the leading issues in corporate governance. In addition, I led Tapestry’s work with compensation committees. Much of that work was focused on the committee’s expanding oversight of talent. I led discussions on workforce transformation, employee training and development, and the future of work. I also focused on helping boards develop stronger relationships with their CHROs. In addition, I addressed more traditional executive compensation topics including goal setting, incentive plan design, equity plans, peer group selection, and the use of non-financial performance measures.
