I practise business law and have extensive experience in a variety of M&A transactions, including acquisitions, dispositions, reorganizations, licensing and distribution arrangements, mergers, joint ventures and cross-border transactions.I have acted for corporations and partnerships in a broad array of businesses including Internet, food products, packaging, manufacturing, music, film and software tax shelters, computers, energy, entertainment, business information and financial services. Transactions include:- income trust conversion of Alliance Grain Traders Income Fund with contemporaneous $104 million acquisition - advising Publicis Groupe S.A. on its acquisition of In-Sync Consumer Insight Corporation - advising Pindoff Records Sales Inc. on its sale of the Music World chain - advising the shareholders of Obus Forme Ltd. on the sale of their business to Clairvest Group Inc. - advising the shareholders of MIJO Corporation on the sale of their business to Digital Generation, Inc.I also advise on investment into Canada, with a specialty on public and private cross-border transactions involving complex tax structures using exchangeable shares which allow Canadian sellers to defer capital gains tax on the sale of their business.
