Corporate Legal Counsel
Northern Response International Limited is a global distributor of consumer goods and infomercial products which are primarily distributed and sold through online and in-store retail platforms including Walmart, Target and Amazon. In my role as Corporate Legal Counsel I provided legal advice and services on various matters relating to the company’s operations and business activity and participated in projects of strategic importance to the company.My key responsibilities included:- Provide timely corporate and commercial advice and support on a broad range of operational and contractual issues.- Identify, address and manage the company’s legal needs in support of strategic objectives.- Review, prepare and negotiate contracts and other commercial transactional documents and matters including those relating to suppliers, inventors, retailers, manufacturers, supply chain logistics, NDAs, service agreements, requests for proposals, supply chain logistics, media, licensing, intellectual property, marketing and advertising, software licensing, consulting, commercial real estate and leasing, corporate law and governance.-Advise on all patent and trademark law matters including freedom to operate and infringement issues.- Implementation and oversight of regulatory compliance programs.- Develop and maintain a framework for contract management, including oversight for contract review and negotiation.- Creation of library of contracts and protocols to create efficiencies and to deliver superior business results.- Advise the company’s marketing team, including in respect of marketing and advertising, branding, social media and privacy matters.- Advise on complex legal matters and effectively tailoring recommendations and solutions to meet business goals as outlined by management.- Manage relationships with external counsel including monitoring and managing litigation and other specialized subject matters.
