Associate of the Project Finance Group in the Rome Office and member of the Banking & Finance Department.Legal assistance to international banks and energy investment players in the Italian and European market in respect to project finance deals and banking transactions.Main activities and responsibilities:• Drafting and negotiation of the financial documentation in relation to project finance, acquisition finance, syndication and refinancing transactions (e.g. facilities agreements, equity contribution and subordination agreements, intercreditor agreements, accounts agreements).• Drafting and negotiation of security package (e.g. deed of pledge over bank accounts, deed of pledge over receivables, mortgage, special privilege ex article 46 TUB, deed of pledge over shares/quota, deed of assignment of receivables, bank guarantees and parent company guarantees).• Drafting and negotiation of project contracts in relation to "Energy Projects" and "Infrastructures Projects" (e.g. engineering, procurement and construction contracts, turnkey and supply & installation contracts, operation and maintenance agreements; joint ventures and participation in public tenders).• Drafting and negotiation of quota/share sale and purchase agreements, shareholders’ agreements, settlement agreements, power of attorneys and corporate resolutions. • Drafting legal memoranda relating to projects, mainly in the energy and infrastructures sectors;• Due diligence procedures; and• Research and study of the legal framework applicable in connection to project finance.Market area: Italy, U.K., Germany, Spain.
