Requested by former Sales and Business Development Director to join him, as CEO, in his challenge of launching the future of the Hesco Bastion defence and security business in the USA.• Work with CEO on all aspects of the Company incorporation with sole responsibility for (1) Finance & Tax; (2) Contract Management & Compliance; (3) IT; and (4) Legal. Involved navigating and understanding complex and new laws, requirements and customs in the US.• Work with CEO to establish budget and business plan for presentation at Group level.• Work with and manage Board of Advisors, composed of retired four star US Generals, an Ambassador, Colonel and Deloitte Consultant. • Manage a team of US and UK based employees as well as outside contractors, attorneys and consultants.• Act as lead manager of Hesco’s contract with the Canadian military and their prime contract with the US Defense Logistics Agency, worth up to $1bn. • Ensure compliance with all relevant laws and regulations and liaise with government agencies on all aspects of contract performance.• Manage and direct the implementation of ISO Quality Management System at the new US manufacturing site.• Work with the CEO, SVP and Board of Advisors to establish strategies and plans for new business and contract tenders.• Provide direction and structure for operating units.

•Manage the process and drafting of responses to government RFPs (in particular US DOD, UK MOD, UN) on submissions cumulatively worth up to £3 billion (approx. $4.75 billion). Involved overseeing the work of a team of employees charged with researching, analyzing, and drafting as well as attorneys. •Act as a senior company representative during the negotiation and finalization of government contracts.•Manage contracts once awarded, including navigating the complex government procurement regulations including the US DFARS regulations.•Hesco’s sole manager for the company’s legal function with complete discretionary decision-making authority over the company’s day-to-day legal operations. Manage all employees, including U.S.-based employees, regarding any legal issues.•Manage legal issues and requirements encountered by senior managers in all departments (e.g. product development intellectual property, sales and contract issues) to ensure that the company consistently meets all legal filing, and other requirements within prescribed deadlines. •Manage and act as lead representative on all company litigation efforts, including direction of the internal gathering of documentation and creation of strategy as well as leading all outside attorneys on each case. Cases included intellectual property infringement and breach of contract, among many others. •Manage, direct, and evaluate Hesco’s outside attorneys and experts regarding all legal issues, including the selection and retention process as well as direct evaluation of the attorneys’ work product and conduct.•Manage and implement Hesco’s insurance policies.•Manage all employment law compliance and programs within the company, including employee contracts, employment handbooks, and terminations, among other areas.•Manage an annual legal budget of approximately £2 million (approx. $3.2 million) and act as company signatory authorizing payments to attorneys and experts.
