I provided advice and assistance to the company in reorganizing its financial affairs, working with management and the auditors to address deficiencies in the quality of its financial reporting, working with the board of directors and legal counsel to improve corporate governance practices and coordinating the preparation of an application to lift the cease trade order. Researched U.S. national multifamily property market; developed an investment strategy focused on value-added opportunities in Dallas, Phoenix, Atlanta and other major markets; sourced potential acquisitions.Analyzed and identified condominium conversion and development opportunities in Phoenix, Las Vegas and Atlanta. Created a diversified income trust containing three separate investment funds: a Canadian value added apartment portfolio, a US value added apartment portfolio and a BC ski resort development. Developed the legal, tax and corporate structure for this mutual fund trust. Organized five successful private placement financings in connection with each of these projects. Managed the real estate acquisition and debt financing of assets within each fund. Retained auditors and established corporate governance structures for each fund.

Lead the successful turnaround of a severely distressed Maryland REIT with a US$100 million portfolio of apartment properties located in Arizona and Southern California. Under former management shareholder reporting and regular dividend distributions had ceased, the auditors had resigned, and there were allegations of numerous financial improprieties. Initiated a wide-ranging internal review of company structure, operations and accounting records. This resulted in legal action against former management alleging breach of contract, misrepresentation, fraud and RICO violations. Successfully negotiated multimillion-dollar settlement in favor of the Trust.Responsible for a series of corporate governance initiatives: created risk management and audit committees; retained new auditors; supervised internal review of financial records by forensic accountants; reorganized corporate structure of Trust to secure control of assets. Resumed regular financial reporting, including completion of management financial statements for 1996 and 1997 and delivery of audited financial statements for 1998, 1999, 2000 and 2001.Replaced senior officers, terminated contracts with former asset manager and property manager, cancelled expensive outsourcing of accounting functions and brought asset management in-house. From 1998 through 2001 gross revenues increased 51% (13% per annum) and net operating income increased 115% (29% per annum).Initiated capital improvement program to address deferred maintenance issues and reposition several properties, enhancing the value of the portfolio.Negotiated the sale of the Trust’s entire real estate portfolio for US$108 million in April 2002.
