CurrentChief Legal Officer for publicly-traded company that develops, manufactures, and sells infectious disease diagnostic products and other medical devices in the U.S. and many international markets. Responsible for all legal matters, including SEC reports, registration statements and other filings, public disclosure, corporate governance and other corporate matters, product and technology acquisitions and other strategic transactions. Reports directly to the CEO and is a key member of the executive management team and advisor to Board of Directors and its Committees.Responsibilities include negotiating and drafting research and development, manufacturing, distribution, clinical, supply, materials transfer, confidentiality and other agreements. Led negotiations and documentation of primary bank credit facility. Serves as Corporate Secretary and prepares and maintains all Board (and Committee) minutes. Developed and serves as Chief Compliance Officer for major compliance programs, including insider trading policy, code of conduct, policy on interactions with healthcare professionals and physician payment sunshine act policy. Manages patent and trademark portfolios. Provides advice concerning executive compensation, employment matters and employee benefits, and supervises patent infringement and other major litigation.
