Support the AWS Quantum Computing and Networking teams who are chartered with building and launching AWS's first Quantum computer and Quantum networking technology. In this role I provide both counseling and transactional support to the team. These transactions include a variety of complex deal types, such as hardware and software development; technology licensing; procurement; manufacturing and fabrication agreements; SaaS and hosted services agreements; professional, operations and support services; consulting agreements; and sponsored research and lab-use agreements with universities. The business counseling in this role includes product, commercial, and operational counseling on issues including IP contamination, IP protection and licensing; procurement, supply chain, vendor and infrastructure security; product and trade compliance; regulatory issues and go-to-market strategies related to quantum technologies. In this role I also review, advise, develop and deliver standard operating procedures, policies, training and business resources to enable the Quantum teams to deliver on its mission.

Responsible for leading the legal and compliance functions for Osborne Construction Company, a large commercial general contractor. As a member of the corporate executive committee, reported directly to the President and provided a legal and compliance perspective on matters impacting business strategy. Responsible for developing contract risk assessments for construction projects and negotiating contracts with owner/developers and subcontractors ranging up to $70MM as well as negotiating other third-party contracts including benefits agreements, equipment and maintenance leases, office space leases, and joint venture agreements. Developed and implemented new contracting policies and procedures and managed the Contract Administrator department to create efficiencies within the contract flow. Managed the human resources department personnel in employment law compliance. Advised business units, including Operations and Finance departments, on legal and regulatory issues affecting company policies and procedures. Responsible for hiring and managing outside counsel to address and resolve claims or legal action affecting the company.
