As Vice President, General Counsel and Secretary at Primo Water Corporation and a member of the senior leadership team, I oversaw the legal and human resources departments and managed commercial agreements, employment issues, contracts, litigation and arbitration, intellectual property, corporate governance, securities, and supply chain matters.

I served as the primary attorney for commercial agreements for all business units, including International Franchise, Marketing and Intellectual Property, Global Supply Chain and Sourcing, and Real Estate. I drafted, reviewed, and negotiated numerous agreements in support of business operations, including distribution, sales, vendor, service, supply, development, franchise, and manufacturing agreements; agency, promotion, sponsorship, and trademark license agreements; nondisclosure and trade secret agreements; and software license and e-commerce agreements. I developed numerous complex form agreements to streamline the contract review process.In the regulatory and compliance area, I served as Secretary of the disclosure committee, which evaluated SEC financial reporting disclosure obligations; conducted compliance training on company policies and procedures; and evaluated potential transactions to determine if Board approval was required. I also advised on compliance with international, federal (FTC and FDA) and state franchise laws and food laws.In support of the company's marketing and advertising, I reviewed advertising, product labels and packaging, and press releases; advised on internet and social media advertising, sweepstakes and promotions; provided guidance and counseling on strategic initiatives and product innovation; and advised on advertising claim substantiation. I also drafted, reviewed and negotiated IP licenses, nondisclosure, and trade secret agreements; managed the company's trademark portfolio; advised on trademark availability, usage and protection; and served as the gatekeeper for disclosure and use of trade secrets and confidential information.The transactions I worked on included numerous supply agreements for products; a license agreement for branded coffee; and development agreements for the sale of franchise development rights in Russia, India, and Singapore for the development of 170 Krispy Kreme shops over a five year term.

As a Senior Attorney for one of the world’s largest bedding manufacturers, I served as the primary attorney for company’s supply, vendor and service agreements for all business units, and as the lead attorney for all commercial real estate matters. I also drafted, negotiated and reviewed numerous agreements in support of company’s sales, marketing, consumer relations, plant operations, information technology, finance and human resources business units.I was a member of the IPO team in the 2006 initial $450 million public offering of common stock listed on the New York Stock Exchange, and participated in bond and bank refinancings and in the 2004 sale of entire business to Kohlberg Kravis Roberts.
