• Served as Co-Head of Hines’ global legal department and co-led a team of attorneys and compliance professionals. Acted as Hines’ first and sole in-house attorney before the expansion of the legal function.• Served as the General Counsel and oversaw board of directors’ corporate governance for all of Hines’ four public non-listed REITs and Business Development Company funds (led companies through both the Great Financial Crisis and COVID-19).• Led the legal negotiation and successful acquisition or disposition of over 200 Class A office, logistics, retail, multi-family, senior living, data center and student housing assets (both asset and entity deals, including REIT share transactions) with an aggregate transaction value over $25 billion involving assets located in U.S., as well as cross-border transactions on four continents. • Served as Chief Compliance Officer (CCO) and Chair of the Valuation Committee (Aug. 2015 – Nov. 2020) of HMS Income Fund, a public Business Development Company sponsored by Hines, and its related RIA until the sale of this business line in October 2020.• Led key investment management programs, including the structuring and launch of Hines’ two most-prominent U.S. funds for institutional investors. Negotiated all of the funds’ joint venture agreements, including side letters.• Led the legal team’s response in dealing with retail and office tenants during the COVID-19 crisis. • Served on Hines’ Cybersecurity Task Force. • Monitored and provided counsel on relevant global ESG initiatives. • Collaborated with Tax to address REIT taxation and structuring issues with respect to various transactions; substantial experience with implementing and maintaining complex international tax structures.• Supervised all fund litigation and provided counsel with respect to the funds’ ongoing portfolio management activities (including defending a purported class action stockholder lawsuit).

The firm is now known as Locke Lord LLP after an October 2007 merger.• Advised clients in the REIT, real estate, energy, manufacturing, technology and wireless industries on a variety of broad-based corporate governance and SEC disclosure matters, mergers and acquisitions transactions (both public and private) and public and private equity and debt issuances.• Reviewed and/or prepared numerous Securities Exchange Act of 1934 filings.• Acted as lead associate on initial public offerings (IPOs) and follow-on public offerings of equity and debt securities for NYSE and NASDAQ companies, as well as represented underwriters in such transactions. • Formulated internal disclosure controls and other corporate governance procedures in connection with Sarbanes-Oxley, NASDAQ and NYSE listing standards.• Acted as lead attorney on several public tender offers and mergers, as well as high-yield debt offerings. Acted as lead attorney on a variety of venture capital financings (both company and VC counsel).
