Chemetics is an international engineering process technology company, combined with manufacturing facilities and a research and development department and laboratory.Responsible for legal services across Chemetics’ business globally, including• Provide active support to sales and operations in structuring and negotiating both domestic and international engineering, procurement, and supply proposals, contracts, subcontracts and related documents. International project locations include US, China, UK, Russia, India, Australia, Brazil, Indonesia, Chile, Malaysia, Peru, Saudi Arabia, Morocco, Mexico, South Africa, numerous EU countries, and many other countries globally.• Provide advice and support to Chemetics’ technology research and development activities including identifying and mitigating risks, drafting various technology development agreements, and advising on intellectual property rights.• Responsible for corporate compliance and governance, from drafting board and shareholder resolutions to managing M&A and corporate reorganization activities.• Advise on day-to-day legal issues arising in the business, including employment matters, leases, export controls and trade sanctions, licensing, and other regulatory matters.• Liaise with other corporate functions such as group risk/insurance, finance, and tax to coordinate advice to the business.• Implement, monitor, and support corporate and commercial policies and procedures.• Support project execution and procurement teams with contractual and legal aspects of project execution and procurement.• Draft and negotiate a wide variety of contracts including non-disclosure, licensing, sales representation, consulting, services, and many other types.• Manage litigation and outside counsel when external legal assistance is required.

• Responsible for corporate commercial matters, corporate governance, general contract matters, and litigation management. • Provide advice and guidance to senior management on a variety of business and legal issues, including litigations and strategic business agreements.

• Provide advice and negotiate contracts related to the business in Canada and the United States, including franchise, confidentiality, software licensing, indemnity, consulting, and consignment agreements. • Advise various internal departments on corporate commercial matters. • Advise on corporate policy and procedure. • Identify, analyze and research legal issues and prepare legal opinions.• Supervise corporate litigation and direct outside counsel (including bankruptcy, debt collection, product liability, breach of contract, breach of warranty, wrongful dismissal).
