Cleveland/Akron, Ohio Area

Began as Deputy General Counsel to Broadvox, LLC. As the senior attorney on-site, handled the day-to-day operations of wholesale VoIP company, including the drafting and negotiation of all contracts and commercial agreements with large telecommunications customers. Worked on all aspects of the company’s sale to Onvoy, LLC, including managing all due diligence, as well as working with outside counsel on the negotiation and drafting of all key definitive agreements in the sale process. Stayed on with Brivia, Inc. post-closing to help manage the wind-down and closing of affiliate entities as well as establish CloudRoute, LLC. Currently serve as General Counsel to both Brivia and CloudRoute.

Served as the firm’s contract attorney in areas of commercial agreements, general corporate matters, and mergers and acquisitions. Negotiated, structured, and drafted agreements related to mergers, acquisitions, finance, and other business combinations. Served as outside general counsel for business clients regarding corporate governance and strategic business decisions. Key Contributions: Provided client support in negotiating and drafting a wide range of commercial contracts across several separate lines of business.  Acted as lead attorney on M&A transactions ranging in value from $600,000 to $20 Million.

Served as the principal point of contact for the organization on matters of sub-contractor agreements and building leases. Completed several legal projects, including all contracts for the organization. Advised organization on legal issues including stadium lease, contract negotiation, new arena construction, and various immigration issues. Drafted all contracts, including suite licenses, advertising contracts, and other legal documents involved in the organization’s daily operations. Key Contributions: Significantly reduced costs for outside counsel.  Handled the organization’s immigration needs and its move to a new facility.  Involved with negotiation for the purchase and sale of company shares, including agreements, NDAs, and closing documents. Served as President of the Thunderbird Community Sports Foundation, a non-profit organization that aims to make sports more accessible to amateur athletes.
