Assistant General Counsel

 One of two attorneys in General Counsel’s Office of a non-profit corporation with more than 400 employees and a $35 million budget. In that role, analyzed problems and crafted business and legal solutions. I worked closely with the Association’s 40-person board of directors, executive team, and staff to find solutions to business problems. I regularly developed and implement board resolutions, bylaws, and operating procedures. I consulted and advised Association-affiliated organizations, and regularly worked closely with outside counsel to ensure that all entities were protected from any potential conflicts of interest. I trained the board of directors, executive team, and Association staff on numerous issues, including ethics issues, human resources issues, topical legal training, and board fiduciary roles I drafted, reviewed and negotiated more than 200 contracts per year, ranging from relatively simple service-oriented contracts to extremely complex information technology licensing agreements. I assisted the Information Technology department in the development and implementation of a web-based contract tracking system to monitor Association contracts. Practice areas included: finance, tax, securities, corporate governance, meeting management (hotel, speaker agreements), human resources issues, outside counsel and litigation management, Request for Production analysis and response, vendor agreements (with the Association as both vendor and purchaser), IT issues and agreements, trademark/copyright, and governmental relations.

Director Of Contract Administration

 As Director of Contract Administration, I supervise both the Contracts and Change Control departments of a large project (approximately 1,800 employees in the entire project). I directly supervise five employees. As Director of the Contracts department, I assist with many general legal issues (including human relations issues, policy drafting, and contract drafting) and supervise the requirements of our primary contracts with the State of Texas and the flow-down requirements for which our subcontractors are responsible. As Director of the Change Control department, I ensure that all of the Directors and Managers are aware of the corporation’s responsibilities to the State of Texas and our own internal policies. I also supervise the daily formal communication process between the corporation and the State. When I first took over this department, a number of difficult decisions regarding personnel required my attention. After I addressed these issues, the office relationships of my team members became stronger than ever. Under my leadership, the project’s President expanded my department’s influence and responsibilities. I train Directors, managers, and employees on various contract/project management issues. I sit on the executive committee, which guides the project and makes strategic business decisions
