I served as legal advisor to the Board, CEO and the legal team for a three month transition period working on corporate governance, public company and securities matters, and spearheading the proxy season process and the 2023 annual meeting of stockholders.

I served as a trusted advisor to the board, executive team, and employees at all levels of the organization. I built Proterra’s legal, corporate communications, government relations and stock administration functions to serve a public company and prepared corporate governance policies and practices suitable for a growing public company. I led all corporate securities work and completed over $1B in private and public financing transactions, including the SPAC merger completed in 2021. Key legal work included developing commercial agreements for new business lines, negotiating strategic collaboration agreements, assessing corporate development opportunities, developing Proterra’s IP strategy and patent program for key technology, establishing Proterra’s regulatory compliance program for commercial vehicles, partnering on labor and employment initiatives, and leading union negotiations. I led government relations strategy and public policy development at the federal and state level including engagement with organized labor on strategic competition and clean technology initiatives. I led corporate communications, developed the corporate communications team, and led strategy and crisis communications management successfully across key product and corporate communications initiatives.

As the first in-house lawyer, I established the company’s legal and data privacy functions, led strategic policy initiatives, facilitated the company’s expansion into six countries and growth to over 1,000 employees, led corporate governance initiatives for an initial public offering and transition to a public company, and negotiated the sale of the company to private equity in 2017. I was the legal lead for a $133M initial public offering in September 2013, followed by a $305M follow-on offering in January 2014 and a $230 million strategic acquisition in August 2014. Other accomplishments included leading the integration team for the strategic acquisition, creating a business affairs team to support a new SaaS business, managing executive leadership transitions, and successfully resolving material litigation.
