John Day serves as the Executive Vice President and General Counsel for System Property Development Company. Mr. Day supervises all company transactional matters (real estate sales and acquisitions, financing and M&A), as well as legal matters related to all company functions, including parking operations, contract negotiation and compliance, employee matters and litigation.

John Day served as the Senior Vice President, General Counsel and Corporate Secretary for The L&R Group of Companies. Mr. Day oversees all legal matters related to all company functions, including parking operations, contract negotiation and compliance, employee matters, real estate acquisition and development, and litigation. Mr. Day is involved in the legal planning and decision-making process of all company activities to ensure the protection of both company and client interests, while simultaneously supporting legal compliance.• Direct daily responsibility for all company business functions (parking company operations in 33 cities nationwide with approximately 6000 employees), including all M&A, real estate sales, purchases, leasing and financing, direct oversight of HR function, company-wide litigation and annual insurance renewal, responsibility for implementation of policies and practices for all corporate entities (including compliance work for extensive government contracting division).• Experience drafting and negotiating real estate purchase and sale agreements (and conducting/directing associated due diligence), commercial loan transaction/finance documents, joint venture and limited liability company operating agreements, lease agreements, property management agreements, listing agreements, access agreements, landlord subordination and consent agreements, easement agreements and condemnation settlements.• Experience negotiating/managing real estate investment vehicles (retail, parking, distressed asset funds), including negotiation of general partner JV arrangements and limited partner documentation, and supervising fund deal flow (vetting prospects for Investment Committee, i.e., pro-forma responsibility, and related legal work).
