I currently serve as the Office Managing Partner of Polsinelli's Philadelphia office. I am a trusted advisor to public and private companies, private equity firms and management teams on all aspects of executive compensation, corporate governance and employee benefits. Executive Compensation and Employee Benefits Practice: I have 30 years of experience assisting employers and executives in assessing the market value and market terms of management compensation arrangements, while ensuring that those arrangements are delivered under a beneficial tax structure. I handle high-profile investigations, complex pay equity and disparate impact matters, administrative-related employee benefits matters, benefits disputes, complex ERISA litigation (including benefit claims, stock drop and fee litigation), fiduciary litigation and state law governed contractual disputes. In addition, I represent several large public companies with various corporate governance issues implicating their compensation arrangements and frequently represent such companies' interests before the Internal Revenue Service, U.S. Department of Labor and institutional shareholders.Corporate Governance: I advise management and board members on evolving shareholder and stakeholder expectations for ESG compliance. My experience includes proxy advisory services (including ISS and MSCI), ESG criteria, institutional shareholder standards, and various uniform disclosure standards, including Task Force on Climate-Related Financial Disclosures (TFCD) and Sustainability Accounting Standards Board voluntary disclosures (SASB).
