• Supervised and restructured department with 50+ professionals, including 20 offshore FTE’s. Managed all Corporate Accounting within both US retail bank and legacy Finance company. Drafted future state organizational plans, ultimately reducing headcount by 50% and fully optimizing offshore capabilities.• Prepared monthly financial statements on US GAAP and IFRS basis, consolidated on legal entity and geographical basis for external reporting. Participated in ongoing efforts to improve closing process, implementing several process improvements ultimately reducing the monthly close from 5 to 2 days.• Extensive involvement in disposition of several major businesses in North America, including $31 billion sale of the US Credit Card operations to Capital One Financial in 2012, $15 billion of Upstate NY branches to First Niagara and $1 billion sale of US Insurance business to Enstar Group Limited. Involvement included due diligence with interested parties, review of purchase and sale agreements, preparation of detailed transaction memos and transition services post-transaction. Executing on these transactions allowed HSBC to fulfill their commitment to various regulators and avoid efforts to break up the Group.

• Designed and implemented all key accounting systems from start-up allowing the company to grow efficiently and effectively. Company grew from four sites in 1998 to 56 sites in 2006. Hired and trained accounting staff of 25.• Analyzed and performed due-diligence for multiple acquisition targets, including modeling various structures with institutional partners and banks. Process resulted in several successful acquisitions and rejection of multiple mediocre acquisitions.• Implemented strategies to maximize third party revenues and reimbursement that resulted in adding 5-10% profit margin.• Designed and installed internet based reporting systems to track key revenue statistics, real-time employee staffing and other significant operational metrics. Implementation of employee staffing program allowed company to eliminate over $100k of monthly agency expense.• Transitioned operations for multiple acquisitions. Company transitioned 26 distressed properties in 2003, converting a portfolio of delinquent leases into a portfolio with an annual EBITDARM or over $30 million.

• Part of team that oversaw the sale of company for $1.58 billion. Acquisition multiple of 13.5X was one of the largest in history in the industry.• Oversaw transition of over 100 skilled nursing facilities over a 5 year period. Through these efforts the company was able to carry out an aggressive targeted leveraged growth strategy.• Contributed to the financial analysis that resulted in the successful $40 million initial public offering in August 1993, and subsequent equity and debt offerings. Involved in the preparation of SEC required reports including 10K, l0Q, and 8K, and annual report to shareholders.
