Responsible for all legal and regulatory aspects of this national telecommunications business. Duties included: advising senior executives on legal issues, counseling board of directors, managing team of employees that responded to regulatory inquiries and customer complaints, resolving Federal Communications Commission and state PUC licensing issues and inquiries, corporate compliance (maintaining business entities, annual filings, etc.), working with primary investor, corporate finance matters, workout of troubled accounts, managing outside counsel in various litigation, resolving employment and benefits issues, drafting forms for new product offerings, negotiating real estate leases and co-location agreements, managing a team of contracts managers, maintaining intellectual property portfolio, and negotiating material vendor contracts.

Served in the Corporate Department advising clients on transactions ranging from joint ventures, public offerings, acquisitions of public and private companies, venture capital investments, municipal financing, asset-based financing, SEC compliance and other corporate matters.Representative assignments and experience include: • Counsel to Fortune 500 Company in multiple acquisitions of public and private companies, the purchase and disposition of business units, strategic investments, and joint ventures;• Represented investors and companies in multiple venture capital financings;• Prepared registration statements on Forms S-1, S-2, S-3, S-4 and S-8 and represented clients in the registration process with the Securities and Exchange Commission;• Company counsel on offering of $150 million principal amount of registered senior notes;• Responsible for preparing and reviewing Exchange Act filings for multiple clients;• Advised large Mexican company in acquisitions of several steel processing facilities in California, Washington and Alabama in a series of transactions structured both as asset purchases and stock purchases;• Negotiated and drafted documents for a joint venture partner in the development of a commercial website. Principal documents included a complex development agreement (providing for payment to the service provider in cash and equity) and a registration rights agreement;• Counseled a consortium of European investors in the acquisition of a former subsidiary of Xerox;• Represented the New York branch of a German bank as the lead bank in a $1.5 billion syndicated secured credit facility for a high net worth individual and affiliated companies;• Advised numerous commercial banks with the documentation of syndicated asset-based credit facilities; and• Represented a New York banking corporation in its provision of credit and liquidity facilities in support of several public financings.
