Responsible for overseeing the Corporate Services department for all corporate secretarial matters and ensure smooth operations of the corporate secretarial function.Responsibilities:• Drive the growth of the department including full P&L responsibility.• Perform full spectrum of corporate secretarial work.• Oversee, manage and deliver corporate secretarial duties for a portfolio of companies in Singapore and offshore jurisdictions.• Manage relationships between company and clients, clients’ investors, outsourced service provider, auditors and compliance.• Coaching and training of team members.• Enhance and ensure compliance of policies and procedures established for the team.• Foster a culture of operational and service excellence.

Responsible for providing corporate secretarial support to our clients such as planning, organizing and/or attending Shareholders, Board and Board Committee Meeting; preparation of standard and ad-hoc board resolutions; preparation of minutes of meetings; ensuring clients’ compliance with corporate governance and statutory requirements; assisting in the lodgment of documents with ACRA and providing other corporate secretarial administrative duties. Act as named Secretary for both listed and unlisted companies

Provide support on all aspects of corporate secretarial and general administrative services for both local and overseas companies within the Group. Organize and attend Board and Board Committee meetings and shareholders’ meetings and record minutes of meetings, prepare/ review resolutions, meeting papers, annual reports and announcements, in-charge of ACRA and SGXNet announcement and ensure compliance to Companies Act, Code of Corporate Governance, Securities and Futures Act and SGX listing requirements. Own and develop good working relationships with Compliance, Finance, Treasury, Executive Assistants of Directors and senior management, and other key stakeholders

Assist the Client Relationship Manager in all aspects of managing client portfolios including but not limited to preparing activation documents for setting up companies, administration and compliance matters, managing transactional work and preparing requisite documents, billings, bank account opening. Also attend to client enquiries.
