CurrentProvide senior in-house transactional counseling and representation for a highly regulated, “Big 4” professional services firm with global reach. Serve as Audit/Attest Contracting Lead due to deep expertise in addressing transactional issues that arise in such highly regulated practice areas. Work closely with client service delivery teams across all practice areas of the firm (audit, tax and advisory) in negotiating complex agreements with clients and associated third parties (including master services agreements, engagement letters, license agreements, systems implementation agreements, subcontractor agreements, and data privacy, information security and nondisclosure agreements). Assess and counsel engagement teams responding to client proposals, transactional issues that arise in the course of client relationships, and collaborate with and provide counsel to risk management and firm leadership (including C-suite) in response to existing and emerging regulatory, risk and commercial issues in connection with the firm’s activities. Draft customized templates and agreements in response to such issues and engage/manage outside counsel as needed. Counsel and represent the firm in connection with its vendor relationships, including the development of template vendor agreements which contemplate auditor independence and other regulatory requirements, as well as the negotiation of complex vendor transactions. Serve as legal representative on various taskforces and subcommittees formed to address issues having firmwide impact. Advise on the firm’s global relationship with foreign KPMG member firms. Counsel firm’s business leaders in regard to acquisitions, divestitures and strategic relationships. Serve a performance manager, trainer and mentor.
