Jonathan Wolff, a member of the Corporate Services practice group, handles a wide range of business matters including commercial transactions, mergers and acquisitions, antitrust, licensing, and corporate governance.Focusing on mergers and acquisitions, commercial contracting, and due diligence review, Jon assists companies of all sizes at every point in the business cycle – from drafting basic contracts for emerging companies to preparing disclosure schedules for public company stock purchases. Jon delivers effective, practical solutions to businesses of all sizes and types, always keeping in mind the client’s strategic and organizational goals.His experience extends to negotiating and drafting transaction documents for acquisitions and business combinations in a variety of industry sectors, most notably manufacturing and software. He also drafts joint-venture agreements, international distribution agreements, and various other types of typical and custom corporate contracts. The matters that he handles typically range in size and value up to hundreds of millions of dollars.Jon also concentrates on environmental matters, and advises clients on the regulatory aspects of business and real estate transactions, as well as environmental risks in transactions. He also, oversees environmental due diligence, drafts and negotiates consent decrees, and identifies and implements alternative strategies to mitigate risk. Jon is also one of the few attorneys in the St. Louis area that has hands-on experience with water resource and Clean Water Act issues. He has experience working with administrative environmental laws, including the Clean Water Act, Clean Air Act, Safe Drinking Water Act, and several other major environmental statutes and has particular experience working with the U.S. Environmental Protection Agency (EPA).
