Subsequently managing a placing in 2007 raising £30m and an innovative rights issue in 2011 raising £140m using partially paid share structure & full prospectus. Responsible for the relationship with the Nomad, and analysts at JPM Cazenove, Edison & Cenkos.Arranged the first loan with the EIB for £30m over 10 years to support the life sciences portfolio.Transforming the operating systems from a department of the university to being PLC appropriate; replacing the accounting system to Microsoft Dynamics whilst upgrading the reporting and consolidation & management of audit under IFRS, UK & USGAAP. Completed the IFRS conversion in 2007. Introduced a treasury policy to protect capital, maximise yield on circa £60m surplus cash.Member of the Investment Committee of the GroupPrior to the 2011 rights issue, as a member of the Imperial College Group, Innovations benefitted from a capital gains tax exemption. In preparation for the rights issue implemented a corporate restructuring to replicate this exemption. Managed the acquisition of a small electronic engineering company in the UK and supervised the amalgamation of its operations.Set up and maintained group tax affairs including intragroup transfer pricing to avoid isolated offshore tax profits. Whilst at MSI it operated in nine countries with c. $70m annual turnover and 300 employees. Key achievements included raising $20m from General Atlantic Partners and Bessemer Ventures in 1998 whilst demerging Celtel into the Netherlands and putting in place a temporary debt facility of £10m. In late 1998 managed the merger with Seattle based Metapath Software International. In 1997 completed a reduction of capital process in the High Court of Justice to tidy up the corporate structure.Responsible for the corporate transactions working directly with the external lawyers and as Group Company Secretary responsible for the management of share registers & UK statutory books and liaison with trustee shareholders and direct shareholders. Implemented an international option scheme & issued stock options to 300 employees in all nine countries.As Group Treasurer at MSI responsible for treasury operations across the international group covering foreign exchange and country risk and pooling cash reserves. Reviewed and replaced the intragroup trading and transfer pricing arrangement within the Group to reduce the effective tax rate from c. 70% to below 10% by eliminating isolated trading losses and pooling profits.As Group Financial Controller was in charge of the international Group consolidation, introduction of group wide accounting processes, revenue recognition policies, saas accounting, finance systems (Solomon Software prior to its acquisition by Microsoft and conversion to become Dynamics) & policies, group treasury and managing processes for the appointment of new firm of auditors (Arthur Andersen). Regular visits to Dallas & Seattle for the implementation of the accounting system as well as operational visits to the European offices.
