Joined 2013 (formerly known as PolyTherics) for acquisition and funding of Cambridge based Bio-technology services and IP company (Antitope) and 2014 IPO.Rebranded the Group as Abzena plc at the time of the IPO in July 2014 raising £20m (AIM:ABZA) investors including Invesco Perpetual, Woodford Investment Management and Touchstone Innovations amongst others.Post IPO M&A; acquired an antibody and protein manufacturing company (Pacific GMP) based in San Diego in September 2015. Subsequent mergers & acquisition of a chemistry research company (TCRS) near to Philadelphia in December 2015. These were funded in part with a secondary offering raising £21m. Subsequently raised £25m in 2017 growth capital to support the biologics manufacturing aspirations of the group and to widen the shareholder base.Managed the private equity acquisition of the group by New York based private equity firm Welsh, Carson, Anderson & Stowe in October 2018 by way of a scheme of arrangement through the due diligence with rule 2.7 announcement in August 2018 and final court sanction of the scheme of arrangement in October 2018.Typical listed company CFO responsibilities covering the relationships with the Nomad, and analysts at Numis, N+1 Singer, Cenkos, & analysts Edison & Hardman etc. Responsible for legal, Company Secretarial services, HR, IT and general support functions outside of the laboratory or business development.

Joined in January 2006 as CFO / COO whilst it was an independently operating subsidiary of Imperial College and managed the IPO on the AIM market July 2006 raising £26.5m, including a full prospectus and public offer. Subsequently managing a placing in 2007 raising £30m and an innovative rights issue in 2011 raising £140m using partially paid share structure & full prospectus. Responsible for the relationship with the Nomad, and analysts at JPM Cazenove, Edison & Cenkos.Arranged the first loan with the EIB for £30m over 10 years to support the life sciences portfolio.Transforming the operating systems from a department of the university to being PLC appropriate; replacing the accounting system to Microsoft Dynamics whilst upgrading the reporting and consolidation & management of audit under IFRS, UK & USGAAP. Completed the IFRS conversion in 2007. Introduced a treasury policy to protect capital, maximise yield on circa £60m surplus cash.Member of the Investment Committee of the GroupPrior to the 2011 rights issue, as a member of the Imperial College Group, Innovations benefitted from a capital gains tax exemption. In preparation for the rights issue implemented a corporate restructuring to replicate this exemption. Experienced working directly and supporting the Remuneration Committee since 2006 in designing and implementing long and short term incentive schemes within corporate governance code guidelines including stock option schemes, a carried interest plan and cash bonus schemes and supporting its needs with on-going remuneration matters.Operationally, with direct reports, responsible for all human resources, IT, real estate, office management, company secretary and legal support within the Groupcompany.

Joined as one of the first employees and set up the financial reporting systems to provide investor and Board information and controls suitable for a business of its size using Sage.Completed three private fund raising rounds between 2000 and 2005 raising £35m from venture capitalists Atlas Venture, Jafco, RBS Ventures, Scottish Equity Partners, Iglobe & Yasuda; strategic investors Psion, Aqiva and Texas Instruments; and Boston based venture debt provider Lighthouse Capital. Managed the acquisition of a small electronic engineering company in the UK and supervised the amalgamation of its operations.Set up and maintained group tax affairs including intragroup transfer pricing to avoid isolated offshore tax profits. Completed over £3m R&D tax claims and gained in excess of £1m from a number of DTI grants.Set up and maintained the EMI options scheme, and designed and implemented short term cash bonus incentive schemes covering salesman commissions and other variable pay schemes.Responsible for the legal, human resources, IT, office management and real estate, finance, treasury and accounting in all operating locations. Although based in London the role required bi-monthly visits to overseas operations. Had direct reports from the HR manager, the General Counsel, Office manager and the System Administrator as well as the accounting team.

Joined as Group Financial Controller and later became director of treasury operations and group Company Secretary and director of all international group operating subsidiaries reporting to the Chief Financial Officer. Whilst at MSI it operated in nine countries with c. $70m annual turnover and 300 employees. Key achievements included raising $20m from General Atlantic Partners and Bessemer Ventures in 1998 whilst demerging Celtel into the Netherlands and putting in place a temporary debt facility of £10m. In late 1998 managed the merger with Seattle based Metapath Software International. In 1997 completed a reduction of capital process in the High Court of Justice to tidy up the corporate structure.Responsible for the corporate transactions working directly with the external lawyers and as Group Company Secretary responsible for the management of share registers & UK statutory books and liaison with trustee shareholders and direct shareholders. Implemented an international option scheme & issued stock options to 300 employees in all nine countries.As Group Treasurer at MSI responsible for treasury operations across the international group covering foreign exchange and country risk and pooling cash reserves. Reviewed and replaced the intragroup trading and transfer pricing arrangement within the Group to reduce the effective tax rate from c. 70% to below 10% by eliminating isolated trading losses and pooling profits.As Group Financial Controller was in charge of the international Group consolidation, introduction of group wide accounting processes, revenue recognition policies, saas accounting, finance systems (Solomon Software prior to its acquisition by Microsoft and conversion to become Dynamics) & policies, group treasury and managing processes for the appointment of new firm of auditors (Arthur Andersen). Regular visits to Dallas & Seattle for the implementation of the accounting system as well as operational visits to the European offices.

Joined Arthur Andersen on graduating from Oxford University on the Chartered Accountancy training scheme into the smaller business audit practise. During articles moved into the Corporate Recovery Services which became the Corporate Finance and Recovery practise. As a Corporate Finance and Recovery Manager specialised in directly managing a portfolio of real estate, including some of the first office to residential conversions in the UK in the 1990’s, completing the development of semi-complete residential and commercial developments; and leasing and selling the assets on behalf of the secured lenders.
