A highly qualified board candidate, Julie's board-facing expertise spans key issues facing companies today, including corporate governance, U.S. and cross-border M&A, IPOs, debt and equity financings, crisis management, diversity (DEI), material contracts, litigation, risk management, environmental issues, executive compensation, C-suite termination and turnover, succession planning, reductions in force (RIFs), licensing, multi-national regulatory compliance, employment & labor law, tax, health & safety and internal investigations. Julie also has experience across various industries and verticals, including renewable/alternative energy production and storage, natural resources, commercial and residential real estate development, healthcare, biotech, finance, mortgage, lending, aircraft and commercial flight-related services, restaurants and food and beverages, and investment funds. While on the boards of related private companies, each with rights to a California-based renewable energy and energy storage project, Julie negotiated a restructuring and exit transaction (majority sale to NextEra Energy Resources), served as a decision-maker on the project’s challenging permitting process and, in her continuing board membership with Eagle Mountain LLC, is actively engaged in managing revenue and spending. Executive Roles For 12 years, Julie served as Deputy General Counsel at Wexford Capital, and from 2014 on, as Managing Director. At Wexford Capital she executed on upwards of 1000 transactions across dozens of portfolio companies, such as new money, acquisitions, financings, exits and restructurings. Previously, as head of the legal's corporate and securities arm at Weight Watchers (NASDAQ: WW), she spearheaded proxy statements, tender offers, share buy-backs and equity comp and cross-border issues, among other matters. Julie began her career at two prominent multinational law firms, working with venture capital and private equity firms and public and private companies, including several billion dollar transactions. Mentoring, Diversity and Personal Values A vocal advocate for racial, ethnic and gender diversity at all levels of an organization, throughout her career Julie has mentored board members, C-level executives and high potential employees from a range of backgrounds. Placing equal value on diversity of experience, in her own time she has traveled to 47 countries on six continents, summited Kilimanjaro, trekked to Machu Picchu, is an exhibited photographer and captains a 33-foot racing yacht that competes in the Long Island Sound.
