Assisting the General Counsel with advising the business development team and senior leadership on pre-acquisition risks and considerations, assisting with legal due diligence and post-acquisition integration, and collaborating with the business development team, business unit leads, and General Counsel on M&A and strategic transitions. Primary Duties & Responsibilities: · Collaborates with the business development team and internal and external legal teams regarding the negotiation of M&A deals and strategic transactions, managing up to the minute status reports, and calendar coordination of all deal meetings needed and on-going, including meeting notes; · Drafts and negotiates confidentiality and nondisclosure agreements, Letters of Intent, Letters of Interests, Terms Sheets and reviews other commercial agreements in deal process, including draft deal agreements and multiple deal schedules; · Assists in the management of the legal due diligence process, including representation and warranty insurance underwriting; · Assists with regulatory securities approval such as pre-closing antitrust approvals; · Assists in risk mitigation arising in employment and compliance areas; · Assists in obtaining corporate governance consents; · Assists in understanding structure implications regarding legal entity ownership and tax savings; · Communicates with internal stakeholders with respect to legal issues associated with pre-acquisition discussions, due diligence, and other related issues arising out of M&A activity, including press communications; · Collaborates with internal teams and non-legal professionals involved in M&A integration to help ensure a smooth roll out and adoption of legal processes and procedures by acquired companies; · Assists handling post-closing matters related to M&A, including indemnification claims, escrow disbursements and working capital disputes.

Supported the Assistant General Counsel, Litigation and Employment, and Assistant General Counsel, Digital and Compliance, on various employment and compliance related initiatives, including fielding and resolving day to day inquiries from HR, managing and conducting ethics and compliance training, conducting investigations into ethics complaints, and supporting the Legal Department with other projects and initiatives. Primary Duties & Responsibilities: · Provided guidance and support to Human Resources with everyday questions and issues (e.g., FMLA, ADA, leaves of absence, wage & hour; employee relations issues, etc.). · Investigated and recommended resolution for internal complaints, including those raised though the Company’s reporting hotline.· Keeps current on ever changing state and federal laws related to the employee/employer relationship (e.g., paid sick leave; prior wage history; criminal history inquiries; etc.), and informed and counseled Human Resources on same. · Developed training on various topics including harassment; cultural sensitivity; business ethics; etc.· Managed reporting hotline and online ethics and compliance training program.· Audited compliance with company processes and training initiatives.· Assisted on ethics and risk management reporting to global headquarters. · Collaborated with Human Resources to provide updates to Company’s employee handbook and other policies and procedures.· Drafted and negotiated employment related agreements, supply chain agreements and other commercial agreements.
