Provide support and advise Woodside Energy on all legal aspects of its international new ventures, exploration in Barbados, Canada, and Egypt, and development and production activities in Trinidad & Tobago and Mexico. Support includes:• Drafting, negotiation and interpretation of the following: -Farmout Agreements, Joint Operating Agreements and Upstream Government Petroleum Contracts; -Major facilities contracts for production infrastructure including FSO and SURF; and -Agreements for midstream infrastructure and gas export solutions.• Review and interpretation of laws and regulations relevant to hydrocarbon exploration, development and production activities.

Advised and represented Anadarko on all legal aspects of major hydrocarbon development and production projects offshore Ghana, and exploration activities offshore Brazil and Peru, including advising on, and interpreting Joint Operating Agreements, Unitization and Unit Operating Agreements, Granting Instruments and Sale and Purchase Agreements. Significant Activities:• Ghana: -Provided legal support on drafting, review, and negotiation, of the following project related agreements: Major Facilities Contracts (TEN FPSO & Subsea Facilities, Jubilee Oil Offloading System); Gas Sales Agreements; Crude Oil Lifting Agreements; Jubilee Unit Expansion Agreement and Plan of Development for the Greater Jubilee Full Field Development; Jubilee Decommissioning Fund Trust Deed and related agreements; and Sale and Purchase Agreement covering sale of Anadarko’s affiliate company in Ghana, Anadarko WCTP Company.-Advised Senior Management and represented Anadarko in Operating Committee and other Joint Venture Senior Management meetings on issues arising under the Ghana Petroleum Agreements, DWT/WCTP Joint Operating Agreements and Jubilee Unitization and Unit Operating Agreement.-Advocated on behalf of Anadarko in front of various Ghana government entities including the Ministry of Energy, Ministry of Finance, Ghana Petroleum Commission, Ghana Revenue Authority and Ghana National Petroleum Corporation.-Advised Anadarko Senior Management and represented Anadarko’s interests in the Ghana Joint Venture on issues arising out of the arbitration of the boundary dispute between Ghana and Cote d’Ivoire submitted to the International Tribunal for the Law of the Seas.• To ensure compliance with the US Foreign Corrupt Practices Act and UK Bribery Act, investigated and advised Senior Management on anticorruption compliance matters.

Drafting, review and negotiation of a broad range of agreements including drilling contracts, FEED contracts, EPC/EPCI contracts, rig sharing agreements, vessel charters, aviation contracts, master service agreements, equipment leases, consulting agreements, confidentiality agreements, and purchase order terms and conditions.Significant Activities:MozLNG• Legal support in drafting, review and negotiation, of the following project contracts:-FEED and EPC of a multi-billion-dollar onshore LNG facility;-FEED and EPCI of multi-billion-dollar subsea infrastructure; • Legal support to the MozLNG Shipping Team in development of procurement strategy for LNG Carriers.International Exploration Drilling• As primary legal counsel for the International Exploration Drilling Group, drafting, review and negotiation of the following:-multi-billion-dollar package of offshore drilling contracts committing Anadarko to two drillships for a total of eight years. -multiple drilling contracts and related service contracts for drilling operations offshore Brazil, Sierra Leone, Cote d’Ivoire, Mozambique, Kenya, and Colombia.
