As a partner in Williams Mullen's corporate and securities group, I focus my practice on the representation of public and private companies, including real estate investment trusts (REITs) and other direct participation programs, in a variety of corporate and securities matters and capital markets transactions. I have advised issuers in connection with more than $2.5 billion in initial public offerings, primary and secondary offerings, Regulation A offerings, 1031 syndications (DSTs) and other private placements of equity and debt securities. In addition, I have extensive experience as primary outside counsel to public company clients and their boards of directors (including audit, compensation and other board committees) with respect to a broad range of corporate governance and securities law matters, including Securities and Exchange Commission compliance, disclosure and periodic reporting obligations under the U.S. federal securities laws, stock exchange listing and compliance, federal proxy rules, Section 16 compliance and reporting, and executive compensation issues, including equity incentive plan administration.In my corporate practice, I counsel clients on general corporate matters including risk management, contract negotiations, mergers and acquisitions, employment law and corporate/partnership reorganizations and restructurings. I bring over a decade of hands-on business experience to my practice. Prior to law school, I was General Manager of a direct mail advertising franchise, where I directed day-to-day operations and managed an award-winning sales team.
