Secretary (former) and Treasurer (current): prepare and file all applicable governmental compliance documents with Secretary of State and IRS for incorporation and maintenance of good standing. Prepare financial reports, corporate minutes, resolutions and retention of all corporate records.

Assist with the property acquisition process to determine feasibility of properties for potential client ownership and recommend remedial actions to reinstate corporations, release liens/mortgages and obtain other curative documents to facilitate closings.

Managed a complex and voluminous real estate based litigation case. Reviewed closing and financial documentation including construction budgets, AIA certificates etc. and assisted with all matters relating to trial preparation.

Corporate work included minute book maintenance, preparation of dissolutions, amendments to articles, entity formations, resolutions, and stock certificates. Assisted with IPO due diligence and miscellaneous tax work relating to IRS gift compliance and stock valuations. Prepared and filed hundreds of U.C.C.'s nationwide for a retailer's financial structuring.

All aspects relating to the issuance of commercial title insurance. Negotiated insurance issues between underwriters, clients and lenders. Maintained escrow and operating accounts. Prepared financial reports and invested closing funds. Licensed title agent with Chicago Title, Ticor Title and Ohio Bar. Transactional duties included preparation of deeds, leases, mortgages, mechanic's liens, promissory notes, closing statements, leases etc. Intense review of supporting closing documents such as surveys and AIA certificates. Oversaw disbursement of constructions loans, recordation practice and title examinations.
