Key member of senior management teams responsible for dozens of domestic and international acquisitions, venture investments, private equity fund limited partnerships, dispositions and strategic transactions, including ADI’s acquisitions and integration of Linear Technology Corporation ($15B) and Hittite Microwave Corporation ($2.5B).• Led team responsible for Corporate and Securities legal matters. Advised Board of Directors, executives, senior management and staff on corporate and securities transactions, SEC and Nasdaq reporting and public disclosure, stock plans, dividends and stock buyback programs, banking relationships, employee benefit programs, corporate governance and compliance matters.• Served as Division General Counsel for ADI’s Industrial, Healthcare & Consumer Group, with primary responsibility for all legal matters of $2.5B division, including commercial transactions, intellectual property protection, employment matters and litigation. Worked directly with and advised senior management on strategic, business, legal and compliance matters.• Supported ADI’s Worldwide Commercial Transactions, with primary responsibility for all legal aspects of product development, sales and distribution agreements, technology licensing, and business development and strategic relationships. Led a team of internal and dedicated external lawyers and paralegals in this critical function, with primary budgetary oversight and full staffing responsibility.

Responsible for all legal matters of dynamic Nasdaq-listed medical device company. Worked closely with and advised CEO and CFO on all corporate legal matters, governance and compliance issues, and Board of Directors matters. Served as primary contact with outside counsel with respect to litigation, intellectual property and FDA matters.

Founding partner of boutique corporate law firm providing representation and advice to public and private companies, individual entrepreneurs and private investors on general corporate, legal and business issues, including commercial transactions, M&A, SEC filings, corporate finance transactions, and private equity investments.
