Larry has a broad-based transactional practice that includes mergers and acquisitions, private equity and venture capital transactions; syndicated, middle-market and asset-based loan transactions, as well as the purchase and sale of loans, workouts and asset recovery matters; real estate joint ventures, and data privacy and technology matters. Many clients utilize Larry as their outside general counsel, relying upon him for his business acumen, judgment and value-oriented approach to the practice of law. Combining his experience in M&A and commercial finance, Larry represents investors in the purchase of distressed debt, often as a means of acquiring the issuer, either through a secured party sale under Article 9 of the Uniform Commercial Code or the conversion of debt to equity. Larry has also represented clients in acquisitions under Section 363 of the Bankruptcy Code.For more than 15 years, Larry has counseled automobile dealers on buy-sell transactions; floorplan, mortgage and construction financings; DMV licensing; disputes with manufacturers; labor and employment issues; data privacy and security; customer disputes, and contract negotiations with with DMS, F&I and other critical vendors. Complemented by a depth of talent at Day Pitney, Larry is able to offer one-stop shopping to automobile dealers for all of their legal needs.A frequent contributor to legal journals and publications, Larry’s articles in the areas of secured party transactions and banking law have been published in the Seton Hall Law Review, The Journal of Private Equity, Pratt's Journal of Bankruptcy Law, Bank & Lender Liability, The Banking Law Journal, ABA Banking Law Committee Journal and the New Jersey Law Journal. Larry’s article, “MetLife Capital – The Uncertain Fate of Default Rate and Late Fee Provisions,” was one of the authorities cited by the New Jersey State Supreme Court in its landmark decision in MetLife Capital Financial Corp. v.
