Fiduciary responsibilities included securing and stabilizing the operations via Management Control of accounts, staffing, check signing authority, audit and inspections eventually leading to an asset sale. · Served as a General Manager for a 130 room Scottsdale InnSuites Hotel. Later promoted to a Regional Manager - responsible over 4 properties. Duties included operational responsibility from staffing to refurb. · Performed various real-estate due diligence including third party reports (Appraisals, Surveys, Phase 1 and Structural Engineering). Clearing Title issues, drafting Purchase and Sale Agreements, etc. · Sourced out financing ­ handled Bank/Lender relationships with respect to lines of credit, mortgages and cash management. · Registered with the Securities and Exchange Commission as a Registered Investment Advisor. Responsibilities include signing off on 10K, 1OQ Security and Exchange Reports, as well as signing the Management Discussion section of our Annual Report. Other responsibilities include strategic direction with primary emphasis on Acquisitions, (Due Diligence, third party reports, Contract Negotiations, source Financing and transition/closing activities). Locating and negotiating funds for Refinancing existing assets is also an integral part of my responsibility. Worked extensively with Investment Bankers involved in the merger between the Real Estate/Investor Trust and the existing limited partnership entities. Other previous activities included: intense and on-going negotiated settlements/workouts with various creditors (RTC, FDIC, banks, insurance companies, individuals and corporations). Negotiated settlements have focused on assets such as commercial real estate, raw land, hotels and office buildings. Settlements have taken the form of cash-flow mortgages, property deed-in-lieu, cash discounted judgments, asset sales, and Chapter 11 filings. Experience in Chapter 11 includes attorney/client interface with creditors involving Statement of Affairs, Cash Collateral Agreements, Disclosure Statements, Plan Confirmations, Creditor Balloting and Discharge.
