Kenmar was a hedge fund management company headquartered in Greenwich, Connecticut. It had approximately twenty years of experience managing alternative investment funds, including commodity pools and a variety of hedge funds both domestic and offshore. As chief legal officer, I was responsible for forming, structuring and organizing the funds (3(c)(1) and 3(c)(7) exempt funds, funds of funds and commodity pools) both in the United States and offshore (principally Bahamas, Caymans and BVI). This involved the preparation of organizational documents, offering documents including offering memoranda and subscription documents, investment management agreements, custodial agreements, administrative agreements, etc. Kenmar also managed a publicly offered commodity pool so prepared periodic post effective amendments to its registration statement. Public commodity pool was a public company pursuant to the 33 Act, it was covered by Sarbanes Oxley. Responsible for all compliance under that law and was chairman of the pool's Sarbanes Oxley compliance committee.Handled all anti-money laundering procedures.
